Terms of Service

1. Introduction and Acceptance
Welcome to RepairMate ("Service"), operated by DevMetrix (Pty) Ltd. By accessing or using our Service, you agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including Subscribers and their authorized Users.
2. Definitions
"Service" means the RepairMate web application and all related services.
"Subscriber" means the business entity that registers for and maintains a subscription to the Service.
"Tenant" means the unique instance of the Service created for each Subscriber, identified by a subdomain.
"User" means any individual authorized by a Subscriber to access the Service.
"Tenant Data" means all data entered, uploaded, or generated within a Subscriber's Tenant.
3. Account Registration and Security
To use the Service, you must register for an account by providing accurate and complete information. You are responsible for:
Maintaining the confidentiality of your login credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use
Ensuring all Users comply with these Terms
4. Subscription Plans and Payment
Free Trial: All subscription plans include a 14-day free trial. No payment is required during the trial period. Your payment method will be authorized but not charged until the trial ends.
Billing: After the trial period, subscriptions are billed monthly in South African Rand (ZAR). Payments are processed through Paystack, a secure payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis.
Plan Changes: You may upgrade your plan at any time, effective immediately. Downgrades take effect at the end of the current billing period.
Price Changes: We reserve the right to modify pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.
5. Service Description
RepairMate is a multi-tenant business management solution for service businesses. Features vary by subscription plan and may include client management, work order tracking, appointment scheduling, inventory management, invoicing, and reporting. We reserve the right to modify, add, or remove features with reasonable notice.
6. Acceptable Use Policy
You agree not to:
Use the Service for any illegal purpose or in violation of any laws
Transmit malicious code, viruses, or harmful data
Attempt to gain unauthorized access to other Tenants or systems
Interfere with or disrupt the Service or servers
Sublicense, resell, or redistribute the Service without authorization
Use the Service to store or transmit content that infringes third-party rights
7. Data Ownership and Portability
Your Data: You retain all rights to your Tenant Data. We do not claim ownership of any content you upload or create within the Service.
License to Us: You grant us a limited license to host, process, and display your Tenant Data solely to provide the Service to you.
Data Export: You may export your Tenant Data at any time using the available export features. Upon termination, we will make your data available for export for 30 days before deletion.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will endeavor to provide advance notice of planned maintenance where possible.
9. Intellectual Property
The Service, including its design, features, and content (excluding Tenant Data), is owned by DevMetrix (Pty) Ltd and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service. You may not copy, modify, reverse engineer, or create derivative works of the Service.
10. Termination
By You: You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period.
By Us: We may suspend or terminate your access if you breach these Terms, fail to pay, or for any reason with 30 days' notice. In cases of serious violations, we may terminate immediately.
Effect: Upon termination, your access to the Service ends, and your data will be deleted after the 30-day export period.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEVMETRIX (PTY) LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
Our total liability for any claim arising from these Terms or the Service shall not exceed the amount paid by you in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless DevMetrix (Pty) Ltd, its officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts of Johannesburg, Gauteng.
14. Dispute Resolution
Before initiating any legal proceedings, you agree to contact us to attempt to resolve the dispute informally. If we cannot resolve the dispute within 30 days, either party may pursue formal legal remedies.
15. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the modified Terms.
